  • Financial losses resulting from decisions made based on our analysis or guidance

2.4 Maximum Liability Cap

In no event shall our total aggregate liability to you for all damages, losses, and causes of action exceed the amount you have paid to us for services in the twelve months preceding the claim, or AUD $1,000, whichever is greater.

2.5 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

3. Legal and Dispute Resolution

3.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Victoria, Australia, without giving effect to any principles of conflicts of law. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

3.2 Jurisdiction and Venue

You irrevocably consent to the exclusive jurisdiction and venue of the courts located in Melbourne, Victoria, Australia, for all disputes arising out of or relating to these Terms or the use of our services. You waive any objection to jurisdiction and venue in such courts.

3.3 Dispute Resolution Process

Before initiating any formal legal proceedings, you agree to:

    Informal Resolution

    Contact us in writing to describe the dispute and seek an informal resolution. We will respond within 30 days.

    Mediation

    If informal resolution is unsuccessful, both parties agree to attempt mediation with a mutually agreed mediator before pursuing litigation.

    Litigation

    Only after exhausting informal resolution and mediation may either party pursue formal legal proceedings in the courts specified above.

3.4 Class Action Waiver

To the extent permitted by law, you agree to bring claims against us only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. You waive any right to participate in a class action or class-wide arbitration against us.

3.5 Time Limitation on Claims

Any claim or cause of action arising out of or related to use of our services or these Terms must be filed within one year after the claim or cause of action arose, or such claim or cause of action shall be forever barred, regardless of any statute or law to the contrary.

4. General Provisions

4.1 Entire Agreement

These Terms, together with our Privacy Policy and any separate service agreements you enter into with us, constitute the entire agreement between you and Anchor Theorem regarding use of our services and supersede all prior agreements and understandings.

4.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired. The invalid or unenforceable provision shall be replaced with a valid, enforceable provision that most closely matches the intent of the original provision.

4.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

4.4 Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms and our rights without restriction. Any attempted assignment in violation of this section shall be void.

4.5 Force Majeure

We shall not be liable for any failure or delay in performance of our obligations under these Terms due to causes beyond our reasonable control, including acts of God, war, terrorism, riots, natural disasters, pandemics, governmental actions, internet service failures, or other events outside our control.

4.6 Relationship of Parties

Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Anchor Theorem. You have no authority to bind us in any respect whatsoever.

4.7 Survival

All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability.

4.8 Amendments

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a new "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
